Reseller Agreement

This agreement(Agreement") is made by and between Be First Marketing Solutions, a California corporation, which currently is using the brand Be First Marketing Solutions (in aggregate "Company" whose location is in Murrieta, CA, its successors, assigns, and any other entity which they use to sell similar products and services, referred to in this Agreement as the "Reseller" , currently with its place of business at (Your Location Here).

Witnesseth:

WHEREAS, Company is in the business of providing local and other search engine optimization and placement services, helping small business be seen first using a series of keyword combinations on the most important search engines, Google, Yahoo, and Bing.

Company's products either feed to make data available to the search engines and other web destinations in a structured way intended to facilitate higher search results for the most relevant keyword combinations for each customer. Company licenses a number of proprietary processes to provide such services, and values the intellectual property, as does the organization which Company licenses it from. The products have been engineered from the ground up and continue to be refined, as well as the propriety back office, which facilitates entering, analyzing, and optimizing customer informationin such a way that the product works efficiently and effectively.

Company licenses it's trademarks (common law and /or registered, confidential information, and intellectual property).

NOW, THEREFORE, In consideration of the mutual covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties here to agree as follows:

Services Reseller is granted the right to acquire customers on behalf of the Company and sell them products and services, which may change from time to time, at Company's sole discretion.
